Simply Put
1. Corporate Directors set policy and direct the course of events for OLLB Inc.
Corporate Officers implement the direction of the Board and manage the day-to-day operations of the Leagues.
Directors
2. The Board of Directors consists of nine elected members who are responsible for the functioning of OLLB Inc.
3. Directors are elected by the membership at an AGM or by the Board.
4. Four Directors must hold specific Officer appointments.
a) The President is elected by the Board from the pool of nine directors.
b) The Secretary, Treasurer and Registrar are appointed by the Board from the pool of nine directors.

5. At our current level of volunteers, we cannot afford Directors who are not also working as Officers.
Thus the other five directors must also hold Officer positions. That is to say that when a person volunteers
for election as a Director, it must be understood that they must also work as an Officer.

Replacements
7. When a Director turns over his/her Officer position to a new volunteer, he/she must also resign from
the Board. Even if he/she takes up a new Officer position, re-election to the Board is not automatic.
8. On the other hand, when a person volunteers to take over the position of an Officer who is also a Director,
it does not mean the new person will automatically become a Director. Election to the Board is a separate step
done either by the Board or by the membership at an AGM.
Board Meetings
9. All Directors are required to attend.
10. All other Officers are welcome to attend.
11. The following Officers, if not Directors, are required to attend: VP Baseball Operations; Player Agent; Manager - Coaching; Manager - Equipment; Manager - Uniforms; Manager - Community and Public Relations.
12. Some others maybe required to attend from time to time to address specific topics.
13. Board meetings are public meetings and any member of OLLB is welcome to attend. To address the
Board, however, requires 45 days advance notice of the subject and intentions to the President.
